Acceptance of Terms
By accessing or subscribing to dMedia.ai ("the Service"), you agree to these Terms of Service. If you do not agree, do not use the Service.
Business Structure Notice
Important Disclosure: dMedia.ai is currently operating as a sole proprietorship under the California Fictitious Business Name "dMedia.ai." dMedia.ai is in the active process of incorporating as a corporation in Texas.
During the Pre-Incorporation Period: Subscriptions entered into during this pre-incorporation phase are contracts with Sean Roberts, operating dMedia.ai as a fictitious business name in California. Upon incorporation, dMedia.ai Corporation will adopt and ratify all subscriber agreements, and you agree to accept the corporation as the primary obligor under this agreement. Your subscription rights and obligations remain the same whether contracted with the sole proprietorship or the corporation.
After Incorporation: dMedia.ai Corporation, a Texas corporation, will be the party responsible for all performance obligations under this agreement. You agree to the transfer of this contract to the corporation upon its formation and adoption of this agreement.
Description of Service
dMedia.ai provides journalism content and analysis through a subscription-based platform. Content includes original story reporting, embedded social media posts (X/Twitter), embedded video content (YouTube), and original or publicly licensed images. Access to premium content requires an active paid subscription processed through our third-party payment processor.
Account Registration and Security
You must create an account using our authentication service to access subscription features. You are responsible for maintaining the confidentiality of your account credentials and all activities under your account. Notify us immediately of any unauthorized use.
Subscriptions and Billing
Subscriptions are billed on a recurring basis through our payment processor. You authorize automatic charges to your payment method until you cancel. Prices are subject to change with 30 days notice. Refunds are not provided for partial subscription periods unless required by law.
Cancellation
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You retain access to subscription content until that date.
Content Ownership and Licensing
Original Content: All original articles, reports, and analysis published on the Service are owned by dMedia.ai and protected by copyright law. Subscribers receive a limited, non-transferable license to access content for personal, non-commercial use only.
Cross-Posted Content: Some story content is published with permission from original rights holders and is cross-posted across dMedia.ai and partner platforms. Such content retains the original creator's copyright and is governed by licensing agreements between dMedia.ai and the content owner.
Embedded Social Media: The Service may embed content from X (Twitter) and YouTube. Such embeds are governed by those platforms' terms of service. dMedia.ai is not responsible for removal or modification of embedded content by third-party platforms.
Images: Images are either originally created by dMedia.ai or sourced under public licenses (Creative Commons, public domain, or vendor licensing). Attribution is provided where required by license terms.
Subscriber Usage: You may not reproduce, distribute, republish, or reuse any content from the Service without written permission, except that you may download and maintain personal copies for non-commercial reference.
User Conduct
You agree not to:
- Share account credentials or provide access to unauthorized users
- Scrape, automated download, or extract content via bots or technical tools
- Attempt to circumvent access controls or authentication systems
- Use the Service for any unlawful purpose
- Monitor, copy, or display content without authorization
Attribution and Compliance
When referencing content cross-posted with permission, original creator attribution is maintained. For embedded social media and video content, viewers are directed to original sources via platform links.
Third-Party Content Responsibility
Embedded content from X, YouTube, and other third-party platforms is not controlled by dMedia.ai. Content removal or changes by those platforms are outside our control. We are not liable for third-party platform modifications, removals, or policy changes affecting embedded content.
Limitation of Liability
The Service is provided "as is" without warranties of any kind. dMedia.ai is not liable for:
- Any indirect, incidental, or consequential damages arising from your use
- Third-party platform changes or content removal
- Unauthorized use of your account if you fail to secure credentials
- Service interruptions due to third-party providers
Our total liability shall not exceed the amount you paid for the Service in the preceding 12 months.
Privacy
Your use of the Service is also governed by our Privacy Policy, which explains how we collect and use your information through our authentication and payment services.
Termination
We may suspend or terminate your access for violations of these Terms. Upon termination, your right to access the Service ends immediately.
Changes to Terms
We may modify these Terms at any time. Changes become effective upon posting. Continued use after changes constitutes acceptance of the modified Terms.
Governing Law
These Terms are governed by the laws of the State of California during the pre-incorporation phase. Upon incorporation in Texas, these Terms will be governed by Texas law. Continued use of the Service after incorporation and posting of updated Terms constitutes your acceptance of the change in governing law.
